Terms of Reference:

- Oversees and regularly reviews and assesses the relationships between the Administration, the City Auditor and External Auditor;
- Oversees performance of the External Auditor and the City Auditor;
- Oversees integrity of The City's annual Financial Statements;
- Oversees The City's system of disclosure and internal controls regarding finance, accounting, legal compliance, and Codes of Conduct;
- Oversees risk identification, analysis and management procedures to mitigate risk;
- Coordinates its governance responsibility with other Audit Committees that may be active with The City (such as Enmax);
- Oversees procedures, through the Office of the City Auditor, for the receipt, retention and treatment of complaints or allegation of wrongdoing received by The City from City employees or members of the public;
- Develops a detailed annual work plan to assist Audit Committee in discharging its governance responsibilities.

2 Citizens (1 must be a professional accountant)
